Terms of Use

1. Who we are

These Terms of Use govern your access to and use of all software products, websites, and digital tools operated by Srivantage, a company registered in the Netherlands (KVK: 42027730), with its principal place of business in Eindhoven, Netherlands ("Srivantage", "we", "us", "our").

Our products include the RegVanta product family (regvanta-ai.com) and the Capvanta product family (capvanta.ai), collectively referred to as "the Products" or "the Tools".

By downloading, opening, or using any Srivantage product, you ("User", "you") agree to these Terms in full. If you do not agree, do not use the Products.

Scope of application. These Terms apply to all Srivantage products and services regardless of the domain or platform through which they are accessed, including but not limited to srivantage.com, capvanta.ai, and regvanta-ai.com. Products distributed via third-party platforms (including Lemon Squeezy) are equally subject to these Terms. By downloading or using any product from any Srivantage-operated or Srivantage-affiliated domain, you are bound by these Terms as if you had accessed them directly from srivantage.com.

2. Nature of the Products

Srivantage products are decision-support tools. They provide structured frameworks, scoring engines, and AI-enriched analytical outputs to assist organisations in forming their own independent decisions. They are not:

All outputs produced by Srivantage tools must be reviewed, validated, and approved by appropriately qualified personnel within your organisation before being relied upon for any business, regulatory, or strategic purpose.

2A. Srivantage as an enablement platform

Srivantage products are enablement platforms — they provide structured frameworks, scoring engines, and analytical tooling that equip organisations and individuals to conduct their own analysis and form their own decisions. The platform enables capability; it does not exercise it.

By analogy: a structural engineering software tool enables an engineer to calculate load-bearing capacity — but the engineer, not the software vendor, is responsible for the building. Srivantage occupies the same position. Our tools enable structured analysis; the quality, appropriateness, and consequences of that analysis are entirely the responsibility of the user.

Accordingly:

This enablement characterisation is fundamental to the nature of the platform and cannot be recharacterised by any representation, course of dealing, or custom of use into an advisory, professional, or fiduciary relationship of any kind.

3. Licence to use

Subject to these Terms and any applicable licence agreement, Srivantage grants you a limited, non-exclusive, non-transferable, revocable licence to use the Products for your internal business purposes only.

Free / evaluation tier

Evaluation editions may be used free of charge for internal evaluation purposes. Evaluation editions carry watermarks on exported outputs. Commercial use of evaluation outputs — including presenting them to clients or regulators as formal deliverables — is not permitted.

Paid licences

Paid licences permit the number of report generations specified at the time of purchase. A single paid licence may not be shared across multiple organisations. Each report generation consumed constitutes one unit of licence usage.

Unlimited / enterprise licences

Unlimited licences permit unrestricted report generation within a single named organisation or, where explicitly stated, for use by a named consultancy on behalf of its clients. Sub-licensing to third parties is not permitted without prior written consent from Srivantage.

5. Intellectual property

All intellectual property in the Products — including but not limited to scoring methodologies, frameworks, databases, scoring weights, city data, SI partner data, regulatory mappings, software code, obfuscated logic, visual design, and documentation — is the exclusive property of Srivantage and its licensors.

Your use of the Products does not grant you any ownership rights in any Srivantage intellectual property. Reports and outputs generated using the Products are yours to use, subject to these Terms and your licence type, but the underlying methodology and scoring logic remain Srivantage's property.

6. AI-generated content and LLM responsibility

Some Srivantage products include optional AI narrative enrichment features. When used, a prompt is sent directly from your browser to a third-party large language model (LLM) provider of your choice. Srivantage does not transmit, store, or process these prompts on its own infrastructure. AI narrative enrichment is entirely optional — all core scoring, analysis, and reporting functions operate fully without any AI call or internet connection.

Organisational users

Where you use Srivantage products in your capacity as an employee, officer, contractor, or representative of an organisation ("Organisational User"), the decision to use AI enrichment features is entirely your organisation's responsibility. You warrant that:

Srivantage accepts no liability for any regulatory, contractual, or data protection consequence arising from an Organisational User's decision to use AI enrichment features in a manner inconsistent with their organisation's policies or applicable regulations.

Individual users acting in personal capacity

Where you use Srivantage products as an individual acting in your own personal capacity (not on behalf of any organisation), you bear full and sole personal responsibility for:

Srivantage makes no representation that any particular LLM provider's terms of service or privacy practices are appropriate for any individual's specific circumstances. You are solely responsible for conducting your own due diligence before using AI enrichment features.

Company masking feature

Srivantage products include an optional company name masking feature that replaces identifying information with a generic placeholder ("The Client") in AI prompts. Use of this feature is strongly recommended where organisational or client confidentiality is a concern. Activation of this feature is the user's responsibility — Srivantage accepts no liability for the unintentional inclusion of identifying or sensitive information in AI prompts where the masking feature was not activated.

6A. Human-in-the-loop approval — transfer of responsibility

Srivantage products incorporate a mandatory Human-in-the-Loop (HITL) approval gate as a core architectural feature. No report, assessment output, or analysis produced by any Srivantage product becomes a deliverable until a human user has explicitly reviewed and approved it within the tool.

By exercising the approval function within any Srivantage product, the approving individual ("Approver") and their Organisation confirm and warrant that:

Following the exercise of the HITL approval gate, Srivantage's responsibility for the content of that report terminates entirely. Any damage, loss, regulatory consequence, or liability arising from a report that has passed through the human approval gate is exclusively the responsibility of the Approver and their Organisation. The causal chain between Srivantage's tool and any alleged harm is severed by the intervening human review and approval decision.

This clause applies equally where the approval is performed by an employee, contractor, consultant, officer, or director of the Organisation, or by any third-party professional engaged by the Organisation to review the output.

6B. Regulatory scope limitations and sector-specific responsibility

Srivantage regulatory assessment tools (RegVanta product family) cover applicable EU and international regulatory frameworks at a generic statutory level. The questionnaires, scoring logic, and gap analysis frameworks are designed to address the regulation as written in primary legislation, implementing regulations, and published regulatory technical standards.

The following are explicitly outside the scope of RegVanta assessments and are the sole responsibility of the user and their Organisation:

Auditor and assessor responsibility. Where a third-party professional (auditor, consultant, compliance advisor) uses RegVanta to assess a client organisation, the professional relationship, duty of care, and liability for the quality of that assessment exists exclusively between that professional and their client. Srivantage is not a party to that professional relationship. The professional is responsible for: determining whether RegVanta's generic framework is appropriate for their client's specific regulatory context; supplementing the tool's output with sector-specific professional judgement; and ensuring the final deliverable meets the standards expected of their profession.

RegVanta outputs are a structured starting framework and evidence-gathering tool — not a substitute for professional regulatory advice tailored to a specific entity's regulatory context, supervisory relationship, and industry sector.

7. Data and privacy

Srivantage products are designed with data sovereignty as a core principle. All scoring computations, input processing, and report generation occur entirely within your browser. No input data, company information, or assessment responses are transmitted to or stored on Srivantage servers.

Where you voluntarily provide an email address (for example, when downloading an evaluation edition or booking a demonstration), that data is handled in accordance with our Privacy Policy.

Your use of third-party LLM providers for AI narrative enrichment is governed by the respective provider's terms of service and privacy policy. You are solely responsible for ensuring such use complies with your organisation's data governance policies.

8. Disclaimer of warranties

THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SRIVANTAGE DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

Benchmark data embedded in the Products is sourced from publicly available or licensed third-party sources. Srivantage makes no representation as to its continued accuracy. Users are responsible for verifying critical data against primary sources before regulatory or board-level reliance.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SRIVANTAGE, ITS DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY:

Where liability cannot be excluded by law, Srivantage's total aggregate liability to you shall not exceed the amount you paid for the specific Product licence giving rise to the claim in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Srivantage and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Products in violation of these Terms; (b) your reliance on tool outputs for regulated, legal, financial, or strategic decisions; (c) your violation of any applicable law or third-party rights.

11. Modifications to the Products and Terms

Srivantage reserves the right to modify, suspend, or discontinue any Product or feature at any time without notice. We may update these Terms from time to time. Continued use of the Products following any update constitutes acceptance of the revised Terms. The effective date at the top of this document will reflect the most recent revision.

12. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Eindhoven, Netherlands.

Before initiating formal legal proceedings, the parties agree to attempt good-faith resolution through direct negotiation for a period of thirty (30) days.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire agreement

These Terms, together with our Privacy Policy and any applicable Licence Agreement, constitute the entire agreement between you and Srivantage with respect to the Products, and supersede all prior agreements, representations, and understandings.

§ Overarching Protection Clause

Ultimate limitation and decision-support declaration

Notwithstanding any other provision of these Terms, any other agreement, any representation made on any Srivantage website, product, or marketing material, or any course of dealing between the parties, the following applies unconditionally and cannot be waived, modified, or superseded by any other clause, agreement, or conduct:

Srivantage products are decision-support instruments only. They do not constitute, and shall never be construed as constituting, legal advice, regulatory certification, professional opinion, audit findings, compliance attestation, or any form of binding professional judgement. No output, report, score, recommendation, narrative, or analysis produced by any Srivantage product creates any duty of care, professional relationship, or liability on the part of Srivantage toward any person or organisation.

Every decision remains yours. The user, their organisation, and their duly authorised advisors bear sole and exclusive responsibility for all decisions made, actions taken, and consequences arising from any use of or reliance upon Srivantage tool outputs. The existence of an AI-enriched narrative, a scored recommendation, or a structured report does not transfer any element of that responsibility to Srivantage.

Human approval severs all liability. Where a Srivantage product includes a Human-in-the-Loop approval gate and a human has exercised that approval, Srivantage bears zero responsibility for the content or consequences of the approved output. The approval act constitutes an independent human decision that fully and irrevocably transfers all responsibility to the approving party. This applies regardless of any alleged defect in the underlying tool output prior to approval.

Sector and entity-specific responsibility. Regulatory assessment outputs from RegVanta products are generic in nature. Any damage, regulatory penalty, or adverse finding arising from the inapplicability of a generic framework to a specific entity's sector, supervisory relationship, or risk profile is exclusively the responsibility of the user who chose to apply and rely upon that output in that specific context.

Maximum aggregate liability. Under no circumstances, regardless of the cause of action, legal theory, or whether Srivantage was advised of the possibility of such damages, shall Srivantage's total cumulative liability to any party exceed EUR 500 (five hundred euros) or the total amount paid by the claimant for the specific Product licence in the preceding twelve months, whichever is greater. This ceiling applies in aggregate across all claims.

This clause survives termination. This overarching protection clause shall survive the termination or expiry of these Terms, any licence agreement, and any other agreement between the parties, and shall remain in full force and effect indefinitely.

If any court or tribunal finds this clause unenforceable in whole, it shall be enforced to the maximum extent permissible, and the remainder of these Terms shall remain in full force and effect.
